AEVEX to Acquire BlackSea Technologies for Up to $650 Million
Solana Beach, California, USA - AEVEX Corp. (NYSE: AVEX) announced on August 12, 2026, that it has signed a definitive agreement to acquire BlackSea Technologies, a prominent provider of unmanned surface and subsea vessels in the U.S. defense market, for up to $650 million. The transaction is expected to expand AEVEX's leadership in multi-domain autonomous systems and strengthen its capabilities in air, surface, and subsea domains.
Transaction Details
Under the terms of the agreement, AEVEX will acquire BlackSea on a cash-free, debt-free basis for approximately $250 million in cash and roughly $350 million in shares of Class A common stock priced at $27.50 per share. The agreement also includes $50 million in performance-based earnout consideration. The acquisition is anticipated to close in September 2026, pending regulatory approvals and customary closing conditions.
BlackSea is expected to generate $150 million in revenue for fiscal year 2026, bringing multi-year contract visibility and supporting expected above-market growth in fiscal year 2027 and beyond. The combined entity will unite complementary customer sets, enhance domestic manufacturing depth, and integrate advanced maritime platforms with AEVEX's autonomy software stack.
