BOXABL and FG Merger II Corp. Stockholders Approve Business Combination
Las Vegas, Nevada, and Itasca, Illinois. BOXABL Inc. and FG Merger II Corp. (Nasdaq: FGMC) have announced that their respective stockholders have officially voted to approve the previously announced business combination. The Special Meetings, held on June 9, 2026, confirmed support for the transaction, moving the modular housing company one step closer to becoming a publicly traded entity on the Nasdaq Stock Market.
Upon the expected closing of the transaction, the combined company will be renamed BOXABL Inc. and will operate under the ticker symbol 'BXBL'. The company has confirmed that it will retain approximately 20 percent or 14 million dollars in cash held in trust. An update regarding the timing of the first trade is expected to follow shortly.
- The merger will be executed in a two-step process: First, FG Merger Sub II Inc. merges into BOXABL. Immediately thereafter, the surviving entity will merge into FG Merger II Corp.
- FG Merger II Corp. will serve as the surviving public company following the completion of the merger.
- Stockholders who did not redeem their shares by the June 5, 2026 deadline will automatically become shareholders of the new public company.
Transaction Details
Paolo Tiramani, founder and co-CEO of BOXABL, emphasized that this milestone is a critical step in accessing public capital markets, which will allow the company to accelerate its mission of transforming construction with scalable, factory-built housing solutions like the flagship Casita unit.
