Cycurion, Inc. Finalizes Acquisition of Secuvant, LLC and Panoptic Platform

McLean, Va., USA - Cycurion, Inc. (NASDAQ: CYCU), a provider of AI-driven cybersecurity and IT security services, announced the successful completion of its acquisition of Secuvant, LLC. The transaction, which closed on June 2, 2026, integrates Secuvant's proprietary Panoptic platform into Cycurion's existing portfolio.

The acquisition is intended to accelerate Cycurion's strategic growth by enhancing its service offerings with higher-margin, recurring revenue solutions. The Panoptic platform provides continuous threat and vulnerability visibility, as well as real-time security insights, which Cycurion plans to deploy across its client base in government and enterprise sectors.

Transaction Details

  • Total Consideration: Approximately $2.875 million.
  • Payment Structure: $875,000 in cash and 888,888 shares of preferred stock valued at approximately $2.0 million.
  • Earn-out Provisions: Secuvant equityholders are eligible for three years of contingent earn-out payments (2026-2028), including guaranteed annual payments of $100,000 and performance-based incentives.

The integration of Secuvant and the Panoptic platform is expected to create significant cross-selling opportunities and strengthen Cycurion's competitive positioning in the cybersecurity market. Ryan Layton, the former CEO of Secuvant, will serve as an advisor to support the integration process.
