Exascale Labs and D. Boral ARC Acquisition I Corp. Shareholders Approve Business Combination
San Francisco, California. Exascale Labs Inc. and D. Boral ARC Acquisition I Corp. (Nasdaq: BCAR) announced that shareholders have officially approved their proposed business combination during the Extraordinary General Meeting held on July 29, 2026. This approval represents a critical milestone in the transaction, which is designed to take the AI compute infrastructure provider public.
Following the expected completion of the business combination, the new entity will operate as Exascale Labs Holdings Inc. The shares of Class A common stock and warrants for the combined company are expected to trade on the Nasdaq exchange under the ticker symbols XLAB and XLABW, respectively.
Transaction Details:
- Approval was secured at the Extraordinary General Meeting of Shareholders.
- Approximately 12 million dollars remain in the BCAR trust account following shareholder redemptions.
- The remaining cash, net of transaction expenses, will be available to the combined company upon closing.
- Completion of the deal remains subject to the satisfaction or waiver of final closing conditions.
