Freenome to Go Public via $1.1 Billion SPAC Merger with Perceptive Capital Solutions Corp
New York, New York - Freenome Holdings, Inc. ("Freenome") has announced a definitive Business Combination Agreement (BCA) with Perceptive Capital Solutions Corp ("PCSC") (NASDAQ: PCSC), a special purpose acquisition company. This transaction is a pivotal step for Freenome to become a publicly traded entity, with the combined company expected to be listed on Nasdaq under the ticker symbol FRNM.
The business combination is anticipated to close in the first half of 2026. Upon completion, Freenome expects to receive approximately $330 million in gross proceeds, prior to transaction costs and assuming no redemptions by PCSC's public shareholders. This funding is crucial for Freenome's strategic growth initiatives, with the combined company projected to have a post-transaction equity value of approximately $1.1 billion, assuming no redemptions.
