Sharon AI Secures US$1.6 Billion in Oversubscribed Strategic Financing
New York, USA - SharonAI Holdings Inc. (NASDAQ: SHAZ), a leading Australian Neocloud company, has announced the successful completion of an oversubscribed US$1.6 billion private placement financing. The transaction is designed to accelerate the company's expansion of AI factories across Australia and the broader Asia-Pacific region.
Transaction Details
- Private Placement: Approximately US$900 million raised through the issuance of 6,719,896 shares of common stock and pre-funded warrants for 6,374,823 shares.
- Convertible Notes: US$700 million aggregate principal amount of 4.75% Convertible Senior Notes due 2032.
- Key Investors: The financing was anchored by Situational Awareness L.P. and funds managed by Oaktree Capital Management, L.P., alongside a group of new and existing institutional and strategic investors.
Strategic Growth and Capacity
The proceeds from this capital raise are earmarked to support a six-year strategic compute collaboration with NVIDIA. Sharon AI plans to deploy a massive compute infrastructure, including up to 40,000 Grace Blackwell GB300 GPUs. This expansion aligns with the company's goal to meet the surging demand for GPU compute from enterprise, government, and AI-native customers.
Currently, Sharon AI has expanded its total AI Factory capacity to 132MW, with 102MW already under contract. The company anticipates having more than 55,000 NVIDIA GPUs deployed by the middle of 2027.
